Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Patra unified inbox platform and related services (collectively, the "Service") provided by Patra ("Patra," "we," "us," or "our"). By signing up for or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Patra is a unified inbox that connects to messaging channels — including Facebook Messenger, Instagram, WhatsApp, Telegram, web chat, and email — so businesses can centralize customer conversations and use AI to assist with replies. The Service may include integrations with third-party platforms; your use of those platforms is also subject to their own terms.
2. Eligibility and accounts
- You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
- You must provide accurate and current registration information and keep it up to date.
- You are responsible for safeguarding your password and for all activity under your account.
- You are responsible for the actions of any team members or sub-accounts you invite.
- Notify us immediately at support@patrahq.com if you suspect unauthorized access.
3. Acceptable use
You agree not to use the Service to:
- Send unsolicited bulk messages (spam), harassment, threats, or content that violates the law
- Violate the terms of any messaging platform you connect (including Meta's Platform Terms, Messenger Platform Policy, WhatsApp Business Messaging Policy, etc.)
- Impersonate any person or entity, or misrepresent your affiliation
- Attempt to gain unauthorized access to the Service, other accounts, or supporting infrastructure
- Reverse-engineer, decompile, or copy any portion of the Service except as expressly permitted
- Use the Service to develop a competing product
- Send malware, conduct phishing, or otherwise harm users
- Process personal data in violation of applicable privacy law
We may suspend or terminate accounts that violate this section, and we may report illegal activity to appropriate authorities.
4. Customer data and your responsibilities
You retain ownership of customer data that flows through your Patra account ("Customer Data"). You grant Patra a limited, worldwide, non-exclusive license to host, process, transmit, display, and create derived data from Customer Data solely as needed to provide and improve the Service for you.
You represent and warrant that:
- You have all necessary rights and consents to send Customer Data to Patra
- You comply with applicable privacy and consumer-protection laws (including GDPR, CCPA, and TCPA) when collecting and processing Customer Data
- You have a lawful basis to message any customer you contact through the Service
5. AI features
The Service may include AI-generated suggestions, summaries, or auto-replies. AI output may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing AI output before relying on or sending it to customers. You should not use AI features to make decisions that have legal or significant effects on individuals without human review.
6. Subscription, billing, and refunds
- If you subscribe to a paid plan, you authorize us (and our payment processor) to charge the payment method on file for recurring fees.
- Subscriptions renew automatically until canceled. You may cancel at any time from your account settings or by emailing support@patrahq.com.
- Fees are non-refundable except where required by law or specified in your plan.
- We may change pricing with at least 30 days' notice; price changes take effect on your next billing cycle.
- Failure to pay may result in suspension or termination of the Service.
7. Third-party platforms
The Service integrates with third-party platforms such as Meta (Facebook, Instagram, WhatsApp), Telegram, and others. Those platforms operate independently and may change their APIs, policies, fees, or availability at any time. Patra is not responsible for third-party platform outages, policy changes, or any decisions those platforms make about your account.
8. Intellectual property
The Service, including its software, design, branding, trademarks, and documentation, is owned by Patra and protected by intellectual-property laws. We grant you a limited, revocable, non-transferable, non-sublicensable license to access and use the Service in accordance with these Terms. All rights not expressly granted are reserved.
Feedback you provide about the Service may be used by Patra without restriction or compensation.
9. Confidentiality
Each party will protect the other's confidential information with the same care it uses for its own confidential information (and in any case no less than reasonable care). This Section does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
10. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not guarantee that the Service will be error-free, that defects will be corrected, or that the Service or its servers are free of harmful components.
11. Limitation of liability
To the maximum extent permitted by law, Patra and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Patra's total cumulative liability for any claim relating to the Service will not exceed the greater of (a) the fees you paid to Patra in the 12 months preceding the claim, or (b) US $100.
12. Indemnification
You agree to indemnify and hold harmless Patra and its affiliates from any claim, demand, damage, or expense (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, including any messaging platform's terms, or (d) any Customer Data or message content you send through the Service.
13. Termination
You may stop using the Service at any time and may delete your account from your account settings or by emailing support@patrahq.com. We may suspend or terminate your access if you violate these Terms or applicable law, fail to pay fees, or for any reason on at least 30 days' notice. On termination, your right to use the Service ends; Sections that by their nature should survive termination (including Sections 8, 10, 11, 12, and 14) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules. Any dispute arising from or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. Nothing in this Section limits any non-waivable consumer rights you may have under the law of your country of residence.
15. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. When we make material changes to the Terms, we will notify you by email, in-app notice, or by posting the updated Terms with a new "Last updated" date. If you continue to use the Service after the change takes effect, you accept the updated Terms.
16. Miscellaneous
- These Terms (together with the Privacy Policy and any plan-specific terms) are the entire agreement between you and Patra regarding the Service.
- If any provision of these Terms is held unenforceable, the remaining provisions stay in effect.
- Our failure to enforce any right is not a waiver of that right.
- You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
